1.1 The websites at www.acas.org.uk, www.acas.co.uk and www.acas.gov.uk (collectively, and individually, the "Website") is owned and operated by Acas ("Acas", "We", "Us", or "Our"). Acas is a non-departmental government body largely funded by the Department for Business Innovation and Skills. [Our VAT number is  .Acas provides certain services through the Website, including but not limited to allowing you to book training sessions, purchase publications and products, undertake e-learning packages, access tools such as the Acas Model Workplace and/or sign up for Our news and notifications (together the "Services").

1.2 These terms and conditions (the "Terms") incorporate the Acas privacy policy. They form a contract between you and Acas which governs your access to and use of the Website and the Services whether you are a visitor or a registered user. The Website and Services are designed to be compliant with applicable UK laws, rules and regulations. Although users outside of the UK may have access to the Website and Services, the information contained on the Website and through the Services is intended only for use by residents of the UK. Acas specifically reserves all rights to limit the provision of Our Services to select persons, countries or geographic regions.

1.3 Please read these Terms carefully. By accessing the Website you are deemed to understand and accept these Terms in their entirety. If you do not accept these Terms please do not use the Website or any Services. These Terms may be changed or updated at any time. The date of our most recent changes will appear at the bottom of this page.  Regular viewing of this page is recommended.

2. Website and Services Disclaimer

2.1 The contents of the Website is designed to provide impartial information on employment matters under the laws of England and Wales and Scotland only (the "Information") to employers, employees and their representatives. While Acas has made every effort to provide accurate Information through the Website, the law is always changing and Acas provides the Information on an "as is" and "as and when available" basis. The Information has been revised up to the date of the latest update.

2.2 Acas provides Information for guidance only and it should not be regarded as an authoritative statement of the law or a substitute for independent legal advice. You should not act or refrain from acting on the basis of the Information without first obtaining independent legal and/or professional advice to verify the Information. Acas will not be liable to you if you rely on the Information.

2.3 Acas provides the Information without any express or implied warranty of any kind including warranties of merchantability, non-infringement of intellectual property, or fitness for any particular purpose. Whilst Acas may make changes to the Information at any time without notice, Acas makes no commitment to update the Information.

2.4 Nothing herein excludes or limits any liability for death or personal injury resulting from Acas' negligence, its liability for fraudulent misrepresentation, nor any losses which may not be lawfully excluded or limited by applicable law.

3. Your Access to the Website and Services

3.1 Your access to the Website and the Services may be occasionally suspended or restricted without notice to allow for repairs, maintenance, or the introduction of new facilities or Services.

3.2 If you register as a user on the Website you must treat your password as confidential information and you must not disclose it to any third party. We reserve the right to disable your user account on the Website at any time if We believe you have not complied with these Terms.

4 .Your use of the Website and Services

4.1 You agree to use the Website and Services for lawful and fair purposes and you agree not to use the Services in any improper or unlawful way so as to breach any rules or laws that apply to you. In particular you agree that you will not upload any files that contain any Destructive Features (as described below) or in any way damage, disable or impair the operation of the Website, or attempt to gain unauthorised access to the Website or to networks connected to it, by hacking, spoofing or other similar means.

4.2 You agree that you will only use the Website and Services for your own personal use or for internal use within your organisation and will not in any way seek to or actually resell the Services or materials including the Information contained on the Website.

4.3 You agree that any information that you provide to Us will be true and complete and accurate in all respects and will not be misleading in any way.

4.4 If you breach these Terms your permission to use this Website terminates immediately without notice being given to you. We shall not be liable for any loss or damage resulting from the illegal, incorrect or inappropriate use of the information provided on this Website or through the Services by you or anyone else whilst they are in your possession.

4.5 To the extent permitted by law, you indemnify and hold Acas and any of Our officers, employees or agents harmless from and against all and any expenses, losses, liabilities, damages, costs or expenses incurred or suffered and any claims or legal proceedings which are brought or threatened, in each case arising from your use of, or conduct on, the Website and/or any breach of these Terms.

5 .Our use of Your Information

5.1 We will process the personal information you provide when using the Website and Services in accordance with our Privacy Policy. If you do not agree to Us collecting and using your personal information in accordance with our Privacy Policy you should not use the Website.

6. Our liability to you

6.1 We promise that all Services will correspond with their relevant description on the Website and that they will be of satisfactory quality and fit for the purpose for which they are sold or otherwise supplied. We promise that We will provide the Website and Services to you with reasonable skill and care but We do not guarantee that the Website or Services will be fault free or meet your requirements.

6.2 We exclude all other express or implied terms, conditions, warranties, or representations whatsoever with regard to any goods or any Information or Service, including but not limited to implied warranties of satisfactory quality, fitness for purpose, non infringement, compatibility, security and accuracy, provided through the Website or the Services other than those which cannot be excluded by law. We will not be liable for any loss or damage howsoever arising out of or in connection with your use of the Website. For the avoidance of doubt, the above limitations of liability do not apply in the case of death or personal injury caused by Our negligence, or where We have acted fraudulently.

6.3 We accept no liability for any indirect or consequential loss or damage, however caused, even if foreseeable (save that these limitations on our liability do not affect your non-excludable statutory rights as a consumer if relevant) including any damages arising from loss of use, data or profits, whether in contract, tort or otherwise.

6.4 Except in respect of a payment obligation, neither We nor you will be liable for any failure to perform any obligation owed to the other due to reasons beyond Our or your reasonable control, for example, industrial disputes, acts of God, terrorism and technical difficulties.

7. Linking to third party websites

7.1 When you access an external website via a link from the Website you accept that it is independent from the Website. Acas is neither responsible for, nor necessarily endorses, the content of external websites linked from the Website. We do not accept responsibility for any losses or penalties incurred as a result of your use of any links or reliance on the content of any website to which the Website is linked. External links will open in a new window.

7.2 Acas mainly provides website links to organisations which provide information to help people deal with employment relations issues in the workplace. We do not link to websites that are of a commercial nature. Although We strive to link to third party websites which comply with applicable laws, rules and regulations, the content of these websites may change without Our knowledge. You should take precautions to ensure protection of your privacy as well as to guard against Destructive Features (as described below).

7.3 You may not frame, link or deep-link the Website without Our prior written consent. If you would like to frame, link or deep-link the Website please contact webteam@acas.org.uk.

8. Computer Viruses, Worms and Trojan Horses

8.1 We use reasonable endeavours to check and test material at all stages of production and to protect the Website from computer viruses, worms, Trojan Horses and other destructive features (the "Destructive Features"). It is always wise for you to run an anti-virus program on all material downloaded from the internet, including from the Website. We do not warrant that the Website is free from Destructive Features and We do not accept any liability for any loss, disruption or damage to your data or your computer system which may occur from the transmission of any Destructive Feature via the Website or the Services.

8.2 You are responsible for ensuring that your computer system meets all relevant technical specifications necessary to use the Website or any Services made available through it and that it is compatible with the Website.

9. Intellectual Property Rights and Reproduction

9.1 The material featured on the Website is subject to Crown copyright protection unless otherwise indicated. You may use and re-use the Crown copyright protected material (other than the Royal Arms and departmental or agency logos) free of charge in any format or medium for any non-commercial purpose in the UK only, under the terms of the Non-Commercial Government Licence, provided that you:

9.4 Subject to Paragraph 9.1 and except as is otherwise indicated on the Website, Acas and/or its licensors own the copyright in all the Information featured on the Website and in the Services and all related intellectual property rights, including but not limited to all database rights, copyright, unregistered and registered trade marks and logos. You should not infer any affiliation, sponsorship or endorsement from the use of third party marks on the Website, as such marks are used solely to designate certain products or services as belonging to their owners.

11. Training Sessions

11.1 Booking

11.1.1 We charge for Our training sessions and you can view the prices and VAT status of Our training sessions by visiting https://obs.acas.org.uk.

11.1.2 You may purchase a place or places on our training courses through the 'Training and Business Solutions' section of the Website.

You need to first be a registered user in order to purchase a training session.

You must pay the appropriate fees as set out on the Website by:

  • Paying online by credit card or debit card
  • Sending a cheque made payable to 'Acas' together with a paper copy of the Acas Event Booking Form (which will be generated by the Website) to the Customer Services Team, The Cube, 123 Albion Street, Leeds LS2 8ER
  • By sending your website generated Acas Event Booking Form electronically to our Customer Services Team at events@acas.org.uk

11.1.3 You will be given the option to pay online using the WorldPay system or to pay by cheque when you complete the online booking form for the training session you have selected.

11.1.4 Subject to any obvious error, the description and price of the training session will be as quoted on the Website at the date your order is received. All payments under these Terms shall be in UK pounds sterling. You will have the opportunity to review your booking before proceeding to confirmation and payment.

11.1.5 The quickest and simplest way to book a training session is by debit or credit card. This ensures your booking is received by Acas on the same day. If you choose to pay by cheque, please ensure you allow time for the booking form and payment to be received by Us and for joining instructions to be sent out to you. Once We have received your booking form and payment We will send you an email to confirm that We have accepted your training session booking (a "Booking Confirmation"). Your training session booking will not be confirmed and a contract between Us and you formed until We have sent you your Booking Confirmation.

11.2 Availability of places

All training session bookings are subject to availability of places.

11.3 Refunds and transfers

11.3.1 You may cancel your training session booking or transfer to another training session up to 14 days before the date of the training session you originally booked.

11.3.2 To the extent that you are acting as a consumer, you may cancel within a 7 working day "cooling off period" starting from the day you receive the Booking Confirmation (excluding Saturdays, Sundays and public holidays in England). However, where the training session you have booked is scheduled to take place before the 7 working day "cooling off" period expires, you hereby agree that you lose your right to cancel the training session once the training session commences. You may substitute delegates at any time before the training session.

11.3.3 If you wish to cancel your training session booking you must e-mail us at events@acas.org.uk. If you decide to cancel your training session booking and provide Us with proof of payment We will fully reimburse to you any sum that you have paid for the cancelled training session within 30 days of receiving your instructions to cancel.

11.4 Our Cancellation of Training Sessions

11.4.1 We reserve the right to cancel or postpone training sessions if there are insufficient delegate numbers to ensure a high quality training experience or if a trainer is ill.

11.4.2 In the event that We cancel or postpone a training session, We will refund your fees for that training session but not any other expenses.

11.5 Training sessions help

If you have any queries about the booking process or about the training session please contact the training session administrator. The contact details for each training session administrator are on the event details information page on the Website. Administrators are available between 9am and 5pm, Monday to Friday (excluding public holidays in England).

12. Acas Publications

12.1 We may charge for providing you with certain of Our publications. You can review the price of Our publications by visiting the 'Publications' page of the Website which sets out any taxes and delivery costs. Publications must be ordered through the 'Publications' page of the Website and you must be a registered user in order to make purchases. You will have the opportunity to review your order before proceeding to confirmation and payment. You may also order Publications from Acas publications between 08.00 and 18.00 from Monday to Friday (excluding public holidays in England and Wales) by telephone, fax or email using the contact details located on the Contact us page on the Website.

12.2 When you place an order for a publication on the Website, We will send you an acknowledgement email confirming that We have received your order. A binding contract will be formed between Us and you when We send you confirmation via email ("Order Confirmation") that your order has been accepted.

12.3 Priced publications must be fully paid for before We will despatch them to you. Payment can be made online by credit/or debit card or by cheque (crossed and made payable to 'Acas Publications') sent to Acas Publications, EC Group, Europa Park, Magnet Road, Grays, Essex, RM20 4DN).

12.4 Normal delivery will take place within five working days of payment. Our priced express delivery service for the majority of mainland UK delivers orders the following working day if placed before 3pm on a working day.

12.5 To the extent you are acting as a consumer, you may cancel your order within a 7 working day "cooling off period" starting from the day you receive the Order Confirmation (excluding Saturdays, Sundays and public holidays in England). Instructions to cancel your publication order must be in writing by e-mailing us at. If you decide to cancel your publication order and you provide Us with proof of payment We will fully reimburse to you any sum that you have paid for the cancelled publication order within 30 working days of receiving your instructions to cancel your order.

12.6 We can only accept returns if the publication(s) is returned to Acas Publications at EC Group, Europa Park, Magnet Road, Grays, Essex, RM20 4DN within 28 working days of the date of the Order Confirmation and the publication(s) is in good order/condition.

13. Acas Model Workplace

13.1 Unless otherwise stated, access to the Acas Model Workplace on the Website is free of charge. If you have any queries about the Acas Model Workplace please use the help feature available in the Acas Model Workplace or contact webteam@acas.org.uk.

13.2 You acknowledge that the feedback you receive from the Acas Model Workplace will be based solely on the input answers you provide to the Acas Model Workplace. Additionally you acknowledge that the feedback you receive does not in any way provide validation of any of the conditions in your workplace or of your organisation's compliance with legislation.

14. E-learning Packages

Unless otherwise stated, access to Our e-learning packages is free of charge. If you have any queries about the e-learning packages please use the help button available on the relevant package.

16. Severability

If these Terms or any part of them should be determined to be illegal, invalid or otherwise unenforceable under the laws of any state or country in which these Terms are intended to be effective, then to the extent that they are so illegal, invalid or unenforceable, they shall in that state or country be treated as severed and deleted from these Terms and the remaining Terms shall survive and remain in full force and effect and continue to be binding and enforceable in that state or country.

17. Entire Agreement

Except for in the case of fraud, these Terms constitute the entire agreement between you and Us in relation to the Website and the Services.

18. Governing law

These Terms are subject to the laws of England and Wales and to the exclusive jurisdiction of the English and Welsh courts.
